TXD – Terms and Conditions of Engagement

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of tax and accounting services by TXD (“we”, “us”, or “our”) to you, the client (“you” or “your”). By instructing us to act on your behalf, you confirm your agreement to these Terms. These Terms are in accordance with applicable UK laws and the ethical standards set by relevant accounting bodies.

2. Scope of Services

We provide tax accounting services, which may include but are not limited to:
   •    Preparation and submission of personal or business tax returns
   •    HMRC correspondence and representation
   •    Claims for overpaid tax or applicable tax reliefs
   •    General tax advisory services

All work is performed in accordance with applicable legislation and professional guidelines.

3. Authority to Act

By engaging our services, you expressly authorise TXD to:
   •    Act on your behalf in all communications with HM Revenue & Customs (HMRC) and other relevant tax authorities.
   •    Prepare, sign (where applicable), and submit claims, returns, or any related tax documentation on your behalf.
   •    Obtain information directly from HMRC or third parties necessary for completing our work.

You agree to provide accurate and timely information required for the performance of our services.

4. Client Bank Account

All claim-related payments made by HMRC or other bodies will be paid into TXD’s client bank account. Once the funds are received:
   •    Our agreed service fees will be deducted first.
   •    The net balance will be transferred to you without undue delay and via the payment method agreed upon.
   •    A detailed breakdown of all deductions will be provided for your records.

You consent to this payment arrangement by engaging our services. Our client account is operated in accordance with UK accounting standards and regulatory best practices.

5. Fees and Payment

Our fees will be agreed with you in advance, either as:
   •    A fixed fee per service; or
   •    A percentage of the total refund or amount reclaimed; or
   •    An hourly rate, where applicable.

All fees are subject to VAT unless otherwise stated. Any change in the scope of work may result in a fee variation, which will be communicated in writing.

6. Client Responsibilities

You are responsible for:
   •    Ensuring that the information you provide is accurate, complete, and up to date.
   •    Retaining all necessary documentation to support any tax claims or returns.
   •    Reviewing and approving draft submissions where required before they are filed.

Failure to comply may result in delays, penalties, or invalid claims, for which we shall not be liable.

7. Limitation of Liability

We will perform our services with reasonable skill and care. However, we do not accept liability for any loss, cost, or penalty arising from incorrect information provided by you, changes in legislation, or actions by HMRC.

Our liability to you for any claim arising from our services shall be limited to the total fees paid by you for the service in question.

8. Data Protection

We comply with the UK General Data Protection Regulation (UK GDPR). By agreeing to these Terms, you consent to the processing and storage of your personal data for the purposes of providing our services.

We do not share your information with third parties except where necessary for the provision of services or as required by law.

9. Termination

You may terminate our services at any time in writing. We reserve the right to terminate our engagement where:
   •    You fail to provide required information in a timely manner.
   •    Fees remain unpaid without reasonable justification.
   •    We identify any breach of these Terms or applicable laws.

Upon termination, all work completed up to that point will be invoiced and payable.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Agreement

By signing our engagement letter or instructing TXD to begin work on your behalf, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
